The business, any of its business divisions and / or its subsidiaries, associate companies or subsidiaries to subsidiaries or such other investment companies (in India or abroad) reserve their respective rights to revise these Terms and Conditions at any time by updating this posting. USE OF CONTENT

All logos, brands, marks headings, labels, names, signatures, numerals, shapes or any combinations thereof, appearing in this site, except as otherwise noted, are properties either owned, or used under licence, by the business and / or its associate entities who feature on this Website. The use of these properties or any other content on this site, except as provided in these terms and conditions or in the site content, is strictly prohibited.

You may not sell or modify the content of this Website  or reproduce, display, publicly perform, distribute, or otherwise use the materials in any way for any public or commercial purpose without the respective organisation’s or entity’s written permission.

ACCEPTABLE WEBSITE USE

(A) Security Rules
Visitors are prohibited from violating or attempting to violate the security of the Web site, including, without limitation, (1) accessing data not intended for such user or logging into a server or account which the user is not authorised to access, (2) attempting to probe, scan or test the vulnerability of a system or network or to breach security or authentication measures without proper authorisation, (3) attempting to interfere with service to any user, host or network, including, without limitation, via means of submitting a virus or “Trojan horse” to the Website, overloading, “flooding”, “mail bombing” or “crashing”, or (4) sending unsolicited electronic mail, including promotions and/or advertising of products or services. Violations of system or network security may result in civil or criminal liability. The business and / or its associate entities will have the right to investigate occurrences that they suspect as involving such violations and will have the right to involve, and cooperate with, law enforcement authorities in prosecuting users who are involved in such violations.

(B) General Rules
Visitors may not use the Web Site in order to transmit, distribute, store or destroy material (a) that could constitute or encourage conduct that would be considered a criminal offence or violate any applicable law or regulation, (b) in a manner that will infringe the copyright, trademark, trade secret or other intellectual property rights of others or violate the privacy or publicity of other personal rights of others, or (c) that is libellous, defamatory, pornographic, profane, obscene, threatening, abusive or hateful.

INDEMNITY

The User unilaterally agree to indemnify and hold harmless, without objection, the Company, its officers, directors, employees and agents from and against any claims, actions and/or demands and/or liabilities and/or losses and/or damages whatsoever arising from or resulting from their use of PValue Solutions or their breach of the terms .

LIABILITY        

User agrees that neither Company nor its group companies, directors, officers or employee shall be liable for any direct or/and indirect or/and incidental or/and special or/and consequential or/and exemplary damages, resulting from the use or/and the inability to use the service or/and for cost of procurement of substitute goods or/and services or resulting from any goods or/and data or/and information or/and services purchased or/and obtained or/and messages received or/and transactions entered into through or/and from the service or/and resulting from unauthorized access to or/and alteration of user’s transmissions or/and data or/and arising from any other matter relating to the service, including but not limited to, damages for loss of profits or/and use or/and data or other intangible, even if Company has been advised of the possibility of such damages.

User further agrees that Company shall not be liable for any damages arising from interruption, suspension or termination of service, including but not limited to direct or/and indirect or/and incidental or/and special consequential or/and exemplary damages, whether such interruption or/and suspension or/and termination was justified or not, negligent or intentional, inadvertent or advertent.

User agrees that Company shall not be responsible or liable to user, or anyone, for the statements or conduct of any third party of the service. In sum, in no event shall Company’s total liability to the User for all damages or/and losses or/and causes of action exceed the amount paid by the User to Company, if any, that is related to the cause of action.

DISCLAIMER OF CONSEQUENTIAL DAMAGES

In no event shall Company or any parties, organizations or entities associated with the corporate brand name us or otherwise, mentioned at this Website be liable for any damages whatsoever (including, without limitations, incidental and consequential damages, lost profits, or damage to computer hardware or loss of data information or business interruption) resulting from the use or inability to use the Website and the Website material, whether based on warranty, contract, tort, or any other legal theory, and whether or not, such organization or entities were advised of the possibility of such damages.PValue

Annual Maintenance Contract (AMC) Terms and Conditions

Effective Date: 1 April 2026

These Annual Maintenance Contract Terms and Conditions govern maintenance, support, training, customization, development, and related services provided by PValue Solutions Private Limited (“PValue”) for its software and ERP products.

1. Acceptance of Terms

The AMC will be included and applicable by default to every customer purchasing or using PValue’s software or ERP services, unless otherwise stated in the applicable quotation or agreement, at a rate of 25% of the work total amount.

If the customer does not wish to continue with the AMC, the customer must notify PValue in writing through an authorized representative before the AMC invoice due date or within the period stated in the quotation.

Verbal requests, informal discussions, non-payment, or silence will not be treated as valid cancellation or exclusion of the AMC.

2.AMC Validity

Unless otherwise specified in the quotation, each AMC will remain valid for 12 months from its activation date (expiery of the previous term – 1 day).

AMC services are available only during the stated validity period. The AMC must be renewed before expiry to maintain uninterrupted coverage.

Unused hours will expire at the end of the AMC period. They cannot be carried forward, refunded, transferred, or adjusted against another contract or invoice.

4. Standard AMC Service Limit

A standard AMC includes a maximum of 30 person-hours during the entire AMC period.

One person-hour means one hour of work performed by one PValue employee, consultant, developer, trainer, or support professional.

For example, if two PValue professionals work on a request for three hours each, six person-hours will be deducted from the AMC balance.

Time spent on the following may be counted against the AMC hours:

  • Requirement discussions and analysis;
  • Remote or onsite support;
  • Troubleshooting and issue diagnosis;
  • Configuration assistance;
  • Minor software improvements;
  • Report or format modifications;
  • Data review or correction;
  • Testing and deployment;
  • Training and demonstrations;
  • Meetings and documentation;
  • Email, telephone, or online support requiring technical work;
  • Travel time, where specifically agreed.

PValue’s time records will be used to determine AMC hour consumption. A utilisation statement may be provided upon request.

5. Services Covered Under an Active AMC

Subject to the 30-person-hour limit, an active and fully paid AMC may cover:

  • Technical support for the licensed PValue software;
  • Correction of reproducible software defects in supported versions;
  • Reasonable troubleshooting and configuration assistance;
  • Minor improvements or modifications approved by PValue;
  • User guidance and refresher training;
  • Assistance relating to existing reports, workflows, or features;
  • Updates specifically included in the applicable AMC quotation.

Coverage applies only to the software, modules, locations, users, and entities specified in the quotation or agreement.

The phrase “covered under AMC”or “Standard hours” does not mean unlimited service. All covered work remains subject to the 30-person-hour limit, technical feasibility, resource availability, and these terms.

6. Services Not Included in the AMC

Unless expressly included in writing, the following are outside the standard AMC:

  • New modules, major features, or substantial customizations;
  • New integrations, APIs, interfaces, or third-party connections;
  • Changes caused by statutory, regulatory, tax, or business-process requirements;
  • Data entry, bulk data correction, migration, or reconstruction;
  • Support for third-party software, hardware, networks, operating systems, or databases;
  • Problems caused by unauthorized changes or third-party intervention;
  • Reimplementation following server, infrastructure, or personnel changes;
  • Services for additional companies, branches, locations, or databases;
  • Onsite travel, accommodation, and related expenses;
  • Services required outside normal business hours;
  • Recovery from cyberattacks, hardware failures, data loss, or customer negligence;
  • Work exceeding the available AMC hour balance.

These services will require a separate quotation or will be charged at the applicable hourly rates.

7. Additional Work Beyond 30 Hours

Once the 30-person-hour AMC limit has been consumed, all additional services will be charged separately.

PValue may pause further work until the customer:

  • Approves the estimated additional hours;
  • Accepts the applicable quotation; and
  • Makes any advance payment requested by PValue.

Renewing the AMC does not automatically include or waive charges already incurred beyond the previous AMC limit.

8. Customers Without an Active AMC

If a customer:

  • Does not purchase (payment not done before expiery of the previous term – 1 day)  the AMC after committing to do so;
  • Does not issue the promised purchase order;
  • Fails to pay the AMC charges;
  • Allows the AMC to expire;
  • Cancels or declines AMC renewal; or
  • Has its AMC suspended because of overdue payments,

then no free training, support, modification, development, troubleshooting, or goodwill service will be available.

All services requested or used by such customers will be billed from the first person-hour, including small improvements, informal assistance, meetings, analysis, training, testing, deployment, and follow-up support.

Past complimentary assistance or goodwill support does not create a continuing entitlement to free services.

9. Service Charges

The following standard rates apply to work not covered by an active AMC or exceeding the AMC limit:

  • Training (online/offline): ₹8,000 per trainer-hour
  • Software development, customization, modification, testing, deployment, or technical work: ₹3,500 per person-hour

Applicable GST and other statutory taxes will be charged additionally.

A minimum billing period of one hour per service request or session may apply. Thereafter, time may be billed in 30-minute increments.

Where multiple PValue personnel are required, charges will be calculated according to the total person-hours used.

PValue may revise these rates by publishing updated rates on its website or communicating them to the customer. An accepted quotation will retain its quoted rates for the stated validity period.

10. Change-Request Procedure

All change requests must be submitted through PValue’s approved email address, ticketing system, or another designated channel.

PValue will review the request and may provide:

  • A clarification of the requirement;
  • An estimated number of person-hours;
  • A delivery estimate;
  • The proposed AMC-hour deduction; or
  • A separate commercial quotation.

Work may begin after written approval from the customer’s authorized representative.

Estimates are based on the information available at the time. If the scope changes or additional complexity is discovered, PValue may revise the estimate and obtain further approval.

11. Training Conditions

Training under AMC is subject to the available AMC hour balance.

Training hours include preparation, delivery, question-and-answer sessions, and any specifically requested training material.

The customer must ensure that the appropriate employees attend the scheduled session. Repeated training caused by employee absence, staff turnover, or failure to attend will be treated as a new service request.

A training session cancelled or rescheduled with less than 24 hours’ notice may be deducted from AMC hours or separately charged.

12. Support Hours and Response

Unless otherwise agreed, services will be provided during PValue’s normal business hours on working days.

Response time means the time taken to acknowledge or begin assessing a request. It does not guarantee final resolution within the same period.

Resolution time will depend on severity, complexity, availability of information, customer cooperation, third-party dependencies, and technical feasibility.

The standard AMC does not provide dedicated personnel, 24-hour support, or guaranteed resolution times unless specifically stated in the quotation.

13. Customer Responsibilities

The customer must:

  • Provide accurate requirements and timely approvals;
  • Nominate authorized contacts;
  • Provide secure remote access when reasonably required;
  • Maintain valid software licences and supported infrastructure;
  • Maintain regular, tested backups of data and systems;
  • Protect login credentials and confidential information;
  • Ensure that only authorized personnel modify the software or database;
  • Promptly report errors with relevant screenshots, logs, and examples;
  • Test and approve changes before production use;
  • Pay invoices within the agreed period.

Delays caused by missing access, information, approvals, backups, or customer personnel will not be treated as delays by PValue.

14. Payment Terms

Unless otherwise stated in the quotation:

  • AMC fees are payable in advance;
  • Additional service invoices are payable within 15 days of the invoice date;
  • PValue may request advance payment for development, onsite work, or major change requests;
  • All taxes, travel expenses, accommodation, and third-party costs are payable by the customer.

PValue may suspend AMC and other services when any invoice becomes overdue. Services provided during suspension will not be treated as covered AMC services.

The customer must raise invoice disputes in writing within seven days of receiving the invoice.

15. Intellectual Property

PValue retains ownership of its software, source code, frameworks, libraries, development tools, methodologies, documentation, and general technical knowledge.

Payment for customization or development does not transfer ownership of PValue’s underlying software or source code unless expressly agreed in writing.

The customer may use completed customizations only with the licensed PValue software and subject to the applicable software licence.

16. Data, Backup, and Security

The customer remains responsible for the accuracy, legality, security, and backup of its data.

PValue will take reasonable care while accessing customer systems. However, the customer must maintain a current and restorable backup before any modification, update, migration, or support activity begins.

PValue will not be responsible for data loss resulting from missing or defective backups, hardware failure, malware, unauthorized access, third-party software, customer actions, or events outside PValue’s reasonable control.

17. Warranty and Limitations

PValue will perform services using reasonable professional skill and care. However, PValue does not guarantee that:

  • Every requested change will be technically feasible;
  • Software will operate without interruption or error;
  • Third-party systems will remain compatible;
  • Every issue can be resolved within a particular period; or
  • A customization will meet requirements that were not disclosed or approved.

To the extent permitted by law, PValue will not be liable for indirect, incidental, special, or consequential losses, including loss of profits, business, goodwill, opportunity, or data.

PValue’s total liability arising from an AMC will not exceed the AMC fees actually paid by the customer for the relevant AMC period, except where such limitation is prohibited by law.

18. Suspension and Termination

PValue may suspend or terminate services if the customer:

  • Fails to make payment;
  • Misuses the software or support services;
  • Allows unauthorized access or modification;
  • Engages in abusive or unlawful conduct;
  • Breaches the software licence or these terms; or
  • Fails to provide necessary cooperation.

AMC fees are non-refundable once the AMC has commenced, except where PValue expressly agrees otherwise in writing.

Termination or expiry does not cancel outstanding invoices or charges for services already provided.

19. Force Majeure

PValue will not be responsible for delays or failure caused by events outside its reasonable control, including natural disasters, internet or power failures, government actions, cyber incidents, labour disruptions, epidemics, war, or failure of third-party service providers.
